Terms of Service

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:

• You are at least 18 years old.
• You have the legal capacity to enter into a binding contract under the laws of your jurisdiction.
• You are not prohibited from receiving services under applicable law (including export controls or sanctions).
• If acting on behalf of an organization, you have authority to bind that organization to these Terms.

We do not knowingly provide the Service to anyone under 18. If we discover that an account belongs to a person under 18, we will terminate the account immediately.

2. Account Registration and Security

To access most features, you must register an account. You may register using:

• Google Sign-In
• Your email address, verified by a one-time code we send you

We do not use passwords. There is no password for you to choose, store, or lose.

You agree to provide accurate, complete, and current registration information; maintain the confidentiality of your credentials; notify us immediately at [email protected] if you become aware of any unauthorized use of your account; and accept full responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts registered with false information or created for unauthorized purposes.

3. Description of the Service and AI Disclosure

Taralipi is an AI-assisted writing application designed for researchers, academics, and technical writers. The Service provides tools including AI-powered writing assistance, knowledge graph extraction, citation discovery and verification, PDF import with intelligent layout understanding, and document version history.

AI Features Use Third-Party Language Models — AI features are powered by large language models (LLMs) provided by third parties, When you invoke an AI feature, the text that feature needs is transmitted to a provider for processing. We select providers on terms that do not permit them to train their models on our customers' content. See our Privacy Policy for full details.

AI Output Is Assistive, Not Authoritative — AI-generated content is provided as an assistive tool to support your work. AI language models can and do produce inaccurate, incomplete, outdated, biased, or misleading information. You are solely responsible for reviewing, verifying, and taking responsibility for any content you produce using the Service before relying on it, publishing it, or submitting it for any purpose. Nothing in the Service constitutes legal, medical, financial, scientific, or other professional advice.

4. License to Use the Service

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Taralipi desktop application on devices that you own or control, and to access the taralipi.com website and AI credits cloud service for your personal or internal organizational use.

This license does not include any right to: sublicense, resell, or provide access to the Service to any third party; copy, modify, distribute, or create derivative works of the Service's software; or use the Service to build a competing product or service.

5. Your Content

5.1 Ownership

You retain all intellectual property rights in the documents, text, data, and other material you create, input, or upload to the Service ("Your Content"). We claim no ownership over Your Content.

5.2 License to Process

By using AI features, you grant Taralipi and its AI service providers a limited, non-exclusive, royalty-free, worldwide license to process Your Content solely as necessary to deliver the specific AI feature you have requested. This license is strictly scoped to service delivery. It does not extend to training or fine-tuning any AI models, any commercial use of Your Content beyond operating the Service, or sharing Your Content with any party other than the sub-processors listed in our Privacy Policy. This license terminates when Your Content is deleted from our systems in accordance with our retention schedule.

5.3 Your Representations

You represent and warrant that: you own Your Content or have all rights necessary to submit it; Your Content does not infringe any third party's intellectual property or other legal rights; you will not submit confidential or personal information belonging to third parties without lawful authorization; and Your Content and your use of the Service comply with all applicable laws.

6. Intellectual Property in AI Outputs

AI-generated text, suggestions, edits, and other outputs produced by the Service in response to your prompts and direction ("AI Outputs") are delivered to you for your use.

Copyright in AI Outputs — the copyright status of AI Outputs depends on the degree of your creative direction, selection, and arrangement, and on the laws of your jurisdiction. Works generated entirely by AI without meaningful human creative input may not qualify for copyright protection under current guidance. We make no representations or warranties about the copyright status of any AI Output.

Your Responsibility for AI Outputs — you accept sole responsibility for reviewing AI Outputs before publishing or relying on them; verifying that AI Outputs do not reproduce third-party copyrighted material without authorization; and compliance with any rules of your academic institution, employer, publisher, or jurisdiction regarding AI-assisted writing.

The Taralipi software, website, brand, product names, AI prompts, knowledge graph system, and all underlying infrastructure remain the exclusive intellectual property of Taralipi and its licensors.

7. Acceptable Use Policy

You agree not to use the Service to:

Illegal and Harmful Content

• Generate, distribute, or store content that is unlawful under applicable law.
• Produce, transmit, or solicit child sexual abuse material or any content that sexually exploits minors.
• Create deepfakes, synthetic impersonations of real individuals, or non-consensual intimate imagery.
• Generate threats, incitement to violence, targeted harassment, or content designed to intimidate or harm a specific person.
• Produce hate speech targeting individuals or groups based on protected characteristics.

Deception and Fraud

• Impersonate any person, organization, or public figure.
• Generate phishing content, spam, malware, or other materials designed to deceive or harm recipients.
• Submit AI-generated work in violation of the academic integrity policies of any educational institution or program.
• Engage in any form of fraud, misrepresentation, or unlawful deception.

Platform Integrity

• Attempt to reverse-engineer, decompile, or extract the source code of any AI model or proprietary component of the Service.
• Circumvent, disable, or interfere with usage limits, credit metering, access controls, or security features.
• Use automated scripts, bots, or tools to bulk-extract content from the Service beyond normal use.
• Resell, sublicense, or provide unauthorized third-party access to the Service.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.

Third-Party Rights

• Submit confidential third-party information — including trade secrets, privileged legal communications, or patient health records — without lawful authority to do so.
• Use the Service in any manner that infringes the intellectual property, privacy, or other legal rights of any third party.

Compliance with AI Provider Policies

AI features are powered by third-party providers — currently OpenAI, Anthropic, Google (Gemini), Mistral AI, NVIDIA and Voyage AI; the current list is maintained on our Sub-processors page. By using these features, you also agree to comply with the published usage policies of the provider handling your request. You may not direct the Service to produce content that would violate those policies.

Enforcement — we reserve the right to investigate suspected violations. We may suspend or terminate your account immediately without notice where a violation poses an immediate risk of harm. For other violations, we will provide notice and an opportunity to cure where reasonably practicable.

8. Institutional Access and Locally-Stored Papers

The Service allows you to connect your institutional library access to download full-text academic papers to your device. You agree that:

• You will only use institutional access features in compliance with the terms and conditions of your institution and the relevant publishers or database providers.
• Taralipi is not responsible for any violation of institutional or publisher terms that results from your use of this feature.
• Papers and full-text content downloaded via institutional access are stored locally on your device and are subject to the applicable publisher or institution's license terms, not these Terms.

9. Third-Party AI Providers

When you use AI features, text from your documents is transmitted to third-party AI providers as described in our Privacy Policy; the current list is on our Sub-processors page. Most features send only the excerpt the feature needs, but document OCR sends the full text of the document you are importing. By using AI features, you acknowledge and agree that these providers process data under their own terms and privacy policies; that we are not responsible for acts or omissions of these providers beyond our contractual obligations to them; that we select providers on terms that do not permit them to train their models on our customers' content; and that we rely on each provider's data processing terms to require that they process your data only as necessary to deliver the AI feature you requested.

If a third-party AI provider changes its terms or data practices in a way that materially affects you, we will notify you and, where necessary, adjust our sub-processor arrangements.

10. Subscriptions, AI Credits, and Payment

10.1 AI Credits

Certain features consume AI credits based on the AI model selected and the number of tokens processed. Your current balance and usage history are visible in the App and at taralipi.com.

10.2 Purchases and Billing

Credit purchases are processed by Razorpay (Razorpay Software Private Limited), a payment aggregator authorised by the Reserve Bank of India. By completing a purchase, you authorize Razorpay to charge your payment method for the amount displayed at checkout and agree to Razorpay's terms of service.

We never receive or store your card number, CVV, UPI PIN, or bank account credentials — these are collected by Razorpay directly. Because Razorpay is regulated in India, your payment data is stored in India under the Reserve Bank of India's payment data localisation requirements, regardless of where you are located.

10.3 Subscriptions and Auto-Renewal

Subscription plans renew automatically at the end of each billing period unless cancelled. We will notify you of upcoming renewals and any price changes at least 30 days in advance. You may cancel at any time through the App or by contacting [email protected]; cancellation takes effect at the end of the current billing period.

10.4 Refund Policy

EU and UK Consumers: If you are a consumer in the EU or UK, you have a statutory 14-day right of withdrawal from the date of purchase. If you have already begun using the Service (including consuming credits), you acknowledge that full performance has commenced and you waive the remainder of this right. We will seek your acknowledgment of this waiver at checkout.

10.5 Taxes

Displayed prices are exclusive of tax.

Where we are required by law to collect tax on your purchase — including Goods and Services Tax (GST) on sales to customers in India — we add it at the prevailing rate at checkout, collect it, remit it to the relevant authority, and issue you a tax invoice in the form that law requires.

Where we are not required to collect tax on a sale, you remain responsible for any tax, duty, or levy that applies to it under the law of your own country, including any obligation to self-assess or account for that tax yourself.

10.6 Disputed Charges

If you believe a charge is in error, contact [email protected] within 60 days of the charge. We will investigate and respond within 10 business days.

11. Termination

11.1 Termination by You

You may delete your account at any time through the App or by contacting [email protected].

Credits you have paid for and not consumed are refunded to your original payment method when you close your account. Credits we granted you free of charge — promotional, trial, or bonus credits — have no cash value and are not refunded.

11.2 Termination by Us

We may suspend or terminate your access to the Service: immediately and without notice if you violate the Acceptable Use Policy in a manner that poses an immediate risk of harm, or if you engage in fraud or illegal activity; with 30 days' written notice for any other reason; or immediately if required to do so by law or court order.

11.3 Effect of Termination

Upon termination, your license to use the Service ends immediately. Provisions of these Terms that by their nature should survive termination — including §5, §6, §7, §12, §13, §14, and §15 — will continue to apply.

12. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT, SUGGESTIONS, SUMMARIES, CITATION ASSESSMENTS, KNOWLEDGE GRAPH OUTPUTS, AND ANY OTHER OUTPUTS, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TARALIPI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING: ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT; ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; ANY WARRANTY THAT AI OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, OR FIT FOR ANY PURPOSE; AND ANY WARRANTY THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS.

Some jurisdictions do not permit the exclusion of certain implied warranties. In those jurisdictions, the above exclusions apply to the fullest extent permitted by law, and your statutory rights are not affected.

13. Limitation of Liability

13.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TARALIPI AND ITS PERSONNEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS; COSTS OF SUBSTITUTE SERVICES; OR DAMAGES ARISING FROM RELIANCE ON AI OUTPUTS — WHETHER ARISING IN CONTRACT, TORT, OR OTHERWISE, EVEN IF TARALIPI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.2 Aggregate Liability Cap

TARALIPI'S TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO TARALIPI IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

13.3 Exceptions

Nothing in these Terms limits or excludes liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded or limited under applicable mandatory consumer protection law.

EU and UK Consumers: EU and UK consumer protection laws may provide rights and remedies that cannot be limited by contract. These limitations apply to the maximum extent permitted in your jurisdiction and do not affect any non-waivable statutory rights you may have.

14. Indemnification

You agree to defend, indemnify, and hold harmless Taralipi and its personnel from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: Your Content; your violation of these Terms or the Acceptable Use Policy; your violation of any applicable law or regulation; third-party claims arising from your use, distribution, or publication of AI Outputs; or your breach of any representation or warranty made in these Terms.

If you are a consumer. Where you use the Service as a consumer rather than for business purposes, this indemnity is limited to claims arising from your own breach of these Terms, your violation of law, or your infringement of a third party's rights — and it applies only to the extent permitted by the mandatory consumer protection law of your country. You are never required to indemnify us for anything caused by our own act or omission.

15. Governing Law and Disputes

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

15.2 Jurisdiction

Subject to §15.3, any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India.

15.3 Consumers

Nothing in §15.2 removes any right you have under mandatory consumer protection law to bring proceedings in another forum.

In India, the Consumer Protection Act, 2019 entitles a consumer to approach a consumer commission where they reside or work. §15.2 does not affect that right.

In the EU or UK, if you are a consumer habitually resident there, you retain the right to bring proceedings before the courts of your country of habitual residence and retain the benefit of any mandatory consumer protection provisions of the law of that country.

15.4 Informal Resolution

Before initiating formal legal proceedings, you agree to first contact us at [email protected] and give us 30 days to attempt to resolve the dispute informally.

16. Changes to These Terms

For material changes, we will provide at least 30 days' advance notice via in-app notification and email to your registered address. Your continued use of the Service after the notice period constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may delete your account before the effective date.

17. General Provisions

Entire Agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between you and Taralipi regarding the Service.

Severability — if any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions continue in full force.

No Waiver — our failure or delay in enforcing any provision on any occasion does not constitute a waiver of our right to enforce it on any future occasion.

Assignment — you may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations — for example, in connection with a merger or acquisition — with 30 days' notice to you.

Force Majeure — we are not liable for any failure or delay in performing our obligations caused by circumstances beyond our reasonable control.

Language — these Terms are written in English. If we provide a translation, the English version governs in the event of any inconsistency. If you would prefer these Terms in any language listed in the Eighth Schedule to the Constitution of India, ask us and we will provide them.

No Third-Party Beneficiaries — these Terms do not confer any rights on third parties.
